Job Description

Job Summary – The attorney will be responsible for draftingagreements, legal review of agreements, negotiations with opposing parties onterms for agreements, and providing advice, consultation and training tobusiness negotiators on issues related to agreements, primarily with suppliersof products, equipment, services, and software used by HealthTrust members andHCA affiliates.
 
Duties (included but not limited to):

  • Providelegal support for vendor contracts to be entered into between any supplier ofproducts, equipment, services, and/or computer software and HealthTrust foraccess by HealthTrust member institutions
  • Providelegal support for vendor contracts to be entered into between any supplier ofproducts, equipment, services, and/or computer software and any HCA affiliatedentity, including HCA Supply Chain operations, HCA Divisions and Facilities,HCA corporate departments, and Parallon
  • Providelegal support for membership agreements related to HealthTrust, CoreTrust, andAdvantage Trust GPO programs
  • Draftagreements and templates, coordinate with the internal business clients toensure proper legal documents are used; review edits proposed by other contractingparties; negotiate with other parties to arrive at mutually acceptablelanguage; and assist business clients in finalizing documents for signatures
  • Providelegal guidance on contract interpretation and other legal issues related togroup purchasing and supply chain operations
  • Draft andnegotiate custom pricing agreements for specific HealthTrust members
  • Providelegal guidance on compliance with various healthcare and/or fair competitionlaws and regulations, especially the anti-kickback laws, antitrust laws, theDiscount Safe Harbor, and the GPO Safe Harbor
  • Coordinateresponses to subpoenas and government requests for information and documents
  • Assist inthe drafting and implementation of policies regarding the contracting processand ethics and compliance matters
  • Providelegal support for international sourcing initiatives
  • Conductpresentations or training or participate in training activities as requested byManaging Counsel or Chief Legal Officer
  • Accomplishspecial projects as assigned by Managing Counsel and Chief Legal Officer


Job Requirements

EDUCATION – Juris Doctorate Degree from accredited LawSchool

EXPERIENCE:

  • More than10 years of active practice experience
  • Law firmexperience desired
  • Healthcarelegal experience preferred.
  • Intellectualproperty experience helpful but not required
  • Litigationexperience helpful but not required

CERTIFICATE/LICENSE – Member of the TN Bar or ability to bewaived into the TN Bar
