JOB SUMMARY –This position reports to a Managing Counsel of HealthTrust Purchasing Group,L.P. (“HealthTrust”).  The position will be responsible for draftingagreements, legal review of agreements, negotiations with opposing parties onterms for agreements, and consulting on issues related to agreements, primarilywith suppliers of products, pharmaceuticals, equipment, services, and softwareused by HealthTrust members and HCA affiliates.

DUTIES (included but not limitedto) –  

  • Provide legal supportfor vendor contracts to be entered into between any supplier of products,equipment, services, and/or computer software and HealthTrust for access byHealthTrust member institutions.
  • Provide legal supportfor vendor contracts to be entered into between any supplier of products,equipment, services, and/or computer software and any HCA affiliated entity,including HCA Supply Chain operations, HCA Divisions and Facilities, HCAcorporate departments, and Parallon.
  • Provide legal supportfor membership agreements related to HealthTrust, CoreTrust, and Advantage TrustGPO programs.
  • Provide legal supportfor pharmacy and med/surg agreements related to HealthTrust, CoreTrust, and HCAprograms.
  • Draft agreements andtemplates; coordinate with the internal business clients to ensure proper legaldocuments are used; review edits proposed by other contracting parties;negotiate with other parties to arrive at mutually acceptable language; andassist business clients in finalizing documents for signatures.
  • Provide legal guidanceon contract interpretation and other legal issues related to group purchasingand healthcare supply chain operations.
  • Draft and negotiatecustom pricing agreements for specific HealthTrust members.
  • Provide legal guidanceon compliance with various healthcare and fair competition laws and regulations,especially the Anti-kickback laws and regulations, the Discount Safe Harbor,and the GPO Safe Harbor.
  • Assist withcoordination of responses to subpoenas and government requests for informationand documents.
  • Assist in the draftingand implementation of policies regarding the contracting process and ethics andcompliance matters.
  • Conduct presentationsand training activities for internal business clients.
  • Accomplish specialprojects as assigned by the Managing Counsel and Chief Legal Officer.


Job Requirements


  • Bachelor’s Degreerequired
  • JD Degree fromaccredited Law School required
  • Transactionalnegotiation experience required
  • Pharmacy legalexperience strongly desired
  • Litigation experienceis helpful but not required
  • 10 years of experience
  • Member of the TN Bar,ability to be waived into the TN Bar, or willing to take the TN Bar exam.
